Terms and Conditions of Use

These Terms and Conditions of Use (hereinafter the "Terms") define the terms and conditions under which Neeuhra (hereinafter "Neeuhra") makes available to training institutes, teachers and learners an online training management platform (hereinafter the "Platform") accessible via the internet.

The Platform enables institutes to manage their courses, lessons, modules, quizzes, audio exercises, final exams, certificates, sessions, payments and the educational progress of their learners. Any use of the Platform implies full acceptance of these Terms.

For the purposes of these Terms, the following terms have the meaning given below:

• "Platform": the Neeuhra LMS online service, its web and mobile interfaces, and the associated features;
• "Institute": any organization (school, training center, language institute) holding an administrator account;
• "Administrator": the user authorized to manage their institute's space on the Platform;
• "Teacher": the user created by the Administrator to manage content and follow learners;
• "Learner": the user enrolled in a training program via the Platform;
• "Content": all educational resources (courses, lessons, modules, quizzes, exercises, exams) published on the Platform;
• "Personal data": any information relating to an identified or identifiable natural person, as defined by the Cameroonian Law n° 2024/017 of 23 December 2024 on the protection of personal data.

Access to the Platform is reserved for adults, or for minors whose legal representative has accepted these Terms. Access is provided by means of a strictly personal and confidential login and password.

Each user undertakes not to share their credentials, not to transfer their account to a third party, and to immediately inform Neeuhra of any unauthorized use of their account. Neeuhra reserves the right to suspend access to the Platform in the event of a breach of these Terms.

4.1 Administrators

The Administrator is responsible for managing their institute's space: creating accounts (teachers, learners), assigning roles, configuring levels, modules and lessons, managing payments and billing, as well as ensuring that these processing activities comply with applicable regulations.

4.2 Teachers

Teachers undertake to publish lawful educational content, to use the Platform strictly within the scope of their teaching duties, and to keep their learners' data confidential.

4.3 Learners

Learners undertake to use the Platform for personal, non-commercial purposes, not to circumvent technical or educational safeguards, and to respect the intellectual property rights of Neeuhra and contributors.

4.4 Neeuhra

Neeuhra undertakes to implement the means necessary to ensure the availability and security of the Platform, and to process Personal data in accordance with its Privacy Policy.

Users are prohibited from using the Platform for unlawful purposes or for purposes contrary to public order and decency, and in particular from:

• infringing the rights of third parties, or harming the privacy or reputation of others;
• publishing content that is unlawful, defamatory, hateful or discriminatory;
• attempting to gain unauthorized access to accounts, systems or data that do not belong to them;
• introducing malicious programs or deliberately disrupting the operation of the Platform;
• using the Platform for unsolicited solicitation or any competing activity.

The Platform is offered under several subscription plans (free or paid), as described on the website. The prices, quotas and features of each plan are presented on the Pricing page and may change subject to prior notice to users.

Payments are made using the payment methods offered on the Platform. Failure to pay by the due date may result in the suspension or termination of access to the plan concerned, without prejudice to Neeuhra's other rights.

7.1 The Neeuhra Platform

The Platform, its graphic elements, interfaces, trademarks, logos and associated source code are the exclusive property of Neeuhra or its licensors. Any reproduction or representation, in whole or in part, is prohibited without the prior written authorization of Neeuhra.

7.2 Educational content

Content published by an Institute remains its own property. The Institute warrants that it holds the necessary rights to such content and grants Neeuhra a non-exclusive license, limited to hosting and displaying such content on the Platform.

7.3 Audio recordings

Audio recordings made by learners as part of oral expression exercises are used exclusively for educational assessment (manual or AI-assisted). They are never reused to train AI models, nor sold to third parties for commercial purposes.

Neeuhra strives to ensure continuous availability of the Platform, subject to maintenance operations and technical contingencies. Availability cannot be guaranteed in absolute terms, in particular in the event of force majeure or failure of telecommunications networks.

Neeuhra may evolve the Platform (features, interfaces, terms of use) in order to improve the service. Substantial changes to these Terms will be communicated to users.

The Platform is provided "as is". Neeuhra cannot be held liable for indirect damages, loss of data or revenue resulting from the use of, or the inability to use, the Platform, to the extent permitted by applicable law.

Neeuhra is not responsible for content published by Institutes, Teachers or Learners, nor for acts carried out by the latter in the course of using the Platform.

Users may terminate their account at any time by contacting Neeuhra support. Termination of a paid subscription takes effect at the end of the current period, unless otherwise provided for in the applicable commercial terms.

In the event of a breach of these Terms, Neeuhra may suspend or terminate a user's access after an unsuccessful formal notice, or immediately in the event of a serious breach.

These Terms are governed by Cameroonian law, and in particular by Law n° 2024/017 of 23 December 2024 on the protection of personal data. Any dispute relating to their interpretation or performance falls within the jurisdiction of the Cameroonian courts.

If any provision of these Terms is declared void or unenforceable, the remaining provisions shall remain in full force and effect.

Neeuhra reserves the right to modify these Terms at any time. Users will be informed of substantial changes by any appropriate means. Continued use of the Platform after the new Terms come into force constitutes acceptance of those Terms.
